Terms of Service Agreement

This Terms of Service Agreement (“Agreement”) governs Customer’s access to and use of ZenProspera LLC’s website, online classes, services, and products. By (1) clicking a box indicating acceptance, (2) acknowledging acceptance in a document referencing these Terms, and/or (3) purchasing a product or participating in a Service, Customer agrees to be bound by this Agreement.

If the individual accepting this Agreement does so on behalf of a company or other legal entity, that individual represents that they have authority to bind such entity. If the individual does not have such authority or does not agree to these Terms, they must not accept this Agreement or use the Services or Products.

This Agreement is effective between Customer and ZenProspera LLC (“ZenProspera”) as of the date Customer accepts these Terms.


PLEASE READ: BINDING ARBITRATION & CLASS ACTION WAIVER (SECTION 16)

Except where prohibited by law or as otherwise stated in Section 16, Customer agrees that disputes will be resolved through binding individual arbitration and waives the right to participate in class actions or class-wide arbitration.


1. Definitions

“Content” means all text, images, audio, video, software, and materials made available through the Services.

“Customer” means the individual or legal entity accepting this Agreement.

“Online Class” means any digital or virtual training, course, or instructional program provided by ZenProspera.

“Services” means Online Classes, training, consulting, digital content, and related offerings.

“Products” means physical or digital goods sold by ZenProspera, including handcrafted sound instruments and accessories.

“Training Materials” means instructional materials provided in connection with Services.


2. Services and Products

Descriptions of Services and Products are available at https://www.zenprospera.com. ZenProspera may modify, suspend, or discontinue any Service or Product at any time.

ZenProspera does not guarantee specific outcomes, certifications, professional advancement, or personal results from use of Services or Products.

Products are premium, hand-sourced, and handcrafted in small batches. Natural variations are inherent to the production process.


3. Customer Responsibilities

Customer agrees to:

  • Use Services and Products only as intended

  • Not share access to Online Classes or Training Materials

  • Ensure accurate information is provided at purchase

  • Comply with all applicable laws

Customer is responsible for determining whether Services or Products are appropriate for their needs.


4. Health, Wellness, and Activity Disclaimers

Services may include meditation, sound practices, movement, or wellness-related content. These are provided for educational purposes only and are not medical, psychological, or therapeutic treatment.

Customer should consult a qualified professional before engaging in any physical or wellness activity. Participation is voluntary and at Customer’s own risk.


5. Payments

All prices are listed in U.S. dollars and must be paid in full at the time of purchase. ZenProspera uses third-party payment processors. ZenProspera is not responsible for payment authorization failures.

Taxes, duties, and fees are Customer’s responsibility unless otherwise required by law.


6. Cancellations, Returns, and Refunds

Services

Cancellation terms for Services are disclosed at the time of booking and may vary by offering.

Products

Product returns and refunds are governed by ZenProspera’s Refund & Return Policy, which is incorporated into this Agreement by reference and available on the Website. In summary:

  • Return requests must be submitted within 14 calendar days of delivery

  • Products must be unused, undamaged, and in original condition

  • No product exchanges are offered

  • Approved returns must be shipped back within 7 days of approval

  • Customers are responsible for return shipping unless the Product arrived damaged or defective

  • Approved returns may be subject to a restocking fee of up to 15 percent

  • Damage or defect claims must be reported within 48 hours of delivery with photos

If there is any conflict between this Agreement and the Refund & Return Policy, the Refund & Return Policy controls for Products.


7. Term and Termination

This Agreement remains in effect while Customer uses Services or owns Products. ZenProspera may suspend or terminate access for violation of these Terms.


8. Effect of Termination

Upon termination, all licenses granted under this Agreement end. Sections relating to payment obligations, intellectual property, disclaimers, dispute resolution, and limitations of liability survive termination.


9. Intellectual Property

All Content, Training Materials, Products, trademarks, designs, and intellectual property are owned exclusively by ZenProspera LLC. No rights are granted except as expressly stated.

Customer may not copy, distribute, modify, resell, or reverse engineer any ZenProspera intellectual property.


10. Confidentiality

Confidential information disclosed in connection with Services must be protected and not disclosed without authorization.


11. No Warranty

Services and Products are provided “AS IS” and “AS AVAILABLE.” ZenProspera disclaims all warranties, express or implied, including merchantability and fitness for a particular purpose, to the fullest extent permitted by law.


12. Limitation of Liability

To the fullest extent permitted by law, ZenProspera shall not be liable for indirect, incidental, special, or consequential damages.

ZenProspera’s total liability shall not exceed $1,000 USD.


13. Indemnification

Customer agrees to indemnify and hold harmless ZenProspera from claims arising from Customer’s misuse of Services or Products or violation of this Agreement.


14. Privacy and Recordings

Use of Services is subject to ZenProspera’s Privacy Policy at
https://www.zenprospera.com/privacy

Customer consents to recording of Online Classes and agrees not to record Services without written permission.


15. Force Majeure

ZenProspera is not liable for delays or failures caused by events beyond reasonable control.


16. Dispute Resolution and Arbitration

Most disputes shall be resolved through binding individual arbitration administered by JAMS under its rules.

Customer may opt out of arbitration within 30 days of accepting these Terms by written notice to ZenProspera LLC.

Class actions and representative actions are waived to the extent permitted by law.

ZenProspera may seek injunctive relief in court for intellectual property or confidentiality violations.


17. Relationship of the Parties

Nothing in this Agreement creates a partnership, joint venture, or agency relationship.


18. Third-Party Tools

ZenProspera is not responsible for third-party tools or services integrated into the Website.


19. Entire Agreement

This Agreement, together with referenced policies, constitutes the entire agreement and supersedes all prior agreements.


20. Severability

If any provision is unenforceable, the remainder remains in effect.


21. Changes to Terms

ZenProspera may update these Terms at any time. Continued use constitutes acceptance.


22. Governing Law

This Agreement is governed by the laws of the State of California, without regard to conflict-of-laws rules, except where arbitration provisions apply.

24. Waiver

Failure to enforce any provision is not a waiver of future enforcement.


25. Assignment

Customer may not assign this Agreement. ZenProspera may assign freely.


26. Construction

Headings are for convenience only. This Agreement is deemed jointly drafted.
